Terms and Conditions of Sale

Pedarson Ltd

These Terms and Conditions apply to all sales of goods by Pedarson Ltd (“the Company”), whether made online, by telephone, email, messaging platform, or any other method of distance or direct communication.

By placing an order, you agree to be bound by these Terms.


1. Definitions

Buyer means the person or business purchasing Goods.

Consumer means an individual purchasing for purposes wholly or mainly outside their trade, business, craft, or profession.

Business Buyer means a person or entity purchasing in the course of trade, business, craft, or profession.

Goods means the products supplied by the Company.


2. Basis of Contract

A contract is formed when the Company confirms acceptance of your order.

Orders may be placed:

  • Via the website
  • By telephone
  • By email
  • Via messaging platforms (including WhatsApp)

The Buyer must confirm whether they are purchasing as a Consumer or Business Buyer at the time of ordering.


3. Prices

  • All prices are shown in Pounds Sterling.
  • VAT is included where applicable unless clearly stated otherwise.
  • We reserve the right to correct pricing errors before dispatch and issue a full refund if necessary.
  • Delivery charges (if applicable) are shown before payment is taken.

4. Payment

  • Payment must be made in full prior to dispatch unless otherwise agreed in writing.
  • Title to the Goods remains with Pedarson Ltd until full payment has been received.
  • The Company reserves the right to charge statutory interest on overdue Business Buyer accounts.

5. Delivery

Delivery is deemed complete:

  • For Consumers: When Goods are delivered to the address provided.
  • For Business Buyers: When Goods are made available for dispatch or collection.

Risk passes upon delivery.

Delivery dates are estimates only unless expressly agreed in writing.


6. Returns and Cancellation (Consumers Only)

This section applies only to Consumers.

You have the right to cancel your order within 14 days from the day after receiving the Goods.

To cancel, you must notify us in writing by email or post.

You must return the Goods:

  • Unused
  • In original packaging
  • With all manuals and accessories

Refunds will be issued within 14 days of receiving returned Goods.

You are responsible for return costs unless the Goods are faulty.

If cancellation rights are not properly exercised in writing, they may not be valid.


7. Faulty or Damaged Goods

Damaged on Delivery

Notification must be made within 7 days of delivery.

Faulty Goods (Consumers)

Consumers are entitled to remedies in accordance with the Consumer Rights Act 2015, including repair, replacement, or refund where applicable.

Faulty Goods (Business Buyers)

Business Buyers must notify faults within 7 days of discovery.

Remedy shall be repair or replacement at the Company’s discretion.

If returned Goods are found not to be faulty, the Company reserves the right to charge reasonable inspection and handling costs.


8. Installation and Use

The Buyer is responsible for ensuring the Goods are correctly installed and suitable for the intended application unless a written design has been supplied by the Company.

The Company shall not be liable for damage to floors, structures, finishes, or property arising from installation, removal, or replacement of the Goods except where such damage is directly caused by a defect in the Goods supplied.

The Company shall not be liable for damage arising from:

  • Incorrect or improper installation
  • Failure to follow installation instructions
  • Misuse or neglect
  • Non-compliance with applicable regulations or industry standards
  • Work carried out by third-party installers

9. Limitation of Liability

Nothing in these Terms excludes or limits liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Statutory rights which cannot be excluded under UK law

Subject to the above:

  • The Company shall not be liable for indirect or consequential loss, including loss of profit, business, or anticipated savings.
  • For Business Buyers, liability shall in any event be limited to the purchase price of the Goods supplied.

10. Specifications

Specifications and performance figures are based on test conditions.

Actual performance may vary depending on installation, environment, and power supply.

The Company reserves the right to modify specifications as part of ongoing product development.


11. Intellectual Property

All drawings, designs, and documentation remain the property of the Company and may not be reproduced or disclosed without written consent.


12. Data Protection

Personal data is processed in accordance with applicable UK data protection legislation.

We do not sell or disclose personal data except where required to fulfil orders or comply with law.


13. Governing Law

These Terms are governed by the laws of England and Wales.

Disputes shall be subject to the jurisdiction of the courts of England and Wales.
